  • Structuring and closing real estate investments, including direct property acquisitions, equity joint ventures; mezzanine, convertible and participating debt; and investments in publicly-traded real estate securities
  • Formation and administration of collective investment vehicles designed to increase efficiency in attracting capital, and related advice to investment managers regarding fee and promote structures
  • ERISA expertise in connection with the formation of, and investments in and by, VCOCs, REOCs and various other types of collective investment vehicles
  • Interaction with the Department of Labor to obtain prohibited transaction exemptions and advisory opinions, as well as dealing with audit and enforcement activity
  • Tax structuring to minimize the risks and consequences of UBTI generation for tax-exempt investors both with respect to the creation of investment funds and direct investments, including structuring to comply with the REIT rules where the investment vehicle is formed as one or more domestically controlled REITs
  • Acquisition of subscription-secured credit facilities for real estate investment funds
