Mr. Zemlin, a partner in the firm’s Business Law Department since 1988, focuses primarily on securities law, mergers and acquisitions and corporate finance matters.
WORK FOR CLIENTS
In the securities area, Mr. Zemlin’s practice includes representing issuers and underwriters in public and private offerings of debt and equity securities, as well as counseling numerous public companies on securities law, anti-takeover, corporate governance and other issues. In addition, he has represented purchasers or sellers in hundreds of merger and acquisition transactions, including those involving the purchase or sale of public companies. Mr. Zemlin’s practice in the corporate finance area includes a broad range of financing transactions such as syndicated financings, leveraged acquisition financings and high-yield debt transactions.
Mr. Zemlin represents clients primarily in the technology and service industries, with a particular focus in the life sciences and medical device practice areas.
PROFESSIONAL ACTIVITIES
Mr. Zemlin currently serves on the Board of Directors of MassMEDIC, the country’s largest medical device industry council. He is also a member of the Business Law Section of the American Bar Association and the Boston Bar Association.

Mr. Zemlin has lectured at many seminars concerning financing and securities law matters.
BAR AND COURT ADMISSIONS
Mr. Zemlin is admitted to practice in Massachusetts, and before the U.S. District Court of Massachusetts and the U.S. Court of Appeals for the First Circuit.
RECOGNITION
Mr. Zemllin served as Articles Editor for the Cornell Law Review at Cornell Law School.
