Michael Maline is a partner in Goodwin Procter’s Business Law Department and a member of the Corporate and Tech Companies/Life Sciences Practices. He concentrates his practice on corporate and securities law with a particular emphasis on securities offerings in the life sciences, technology, consumer products, gaming and entertainment, software, oil and gas and alternative energy industries.
Work for Clients
Mr. Maline has extensive experience representing underwriters and issuers in capital markets transactions, including public securities offerings, registered direct offerings (RDs), PIPEs, convertible equity and debt offerings, and Reg D and Reg S offerings. In addition, he counsels investment banks on federal securities law issues, Financial Industry Regulatory Authority (FINRA) issues, NYSE, Nasdaq and Amex issues and provides other transaction-related and disclosure-related advice. Mr. Maline frequently represents investment funds in structuring and negotiating their equity and debt investments. His transactional experience includes venture capital transactions and mergers and acquisitions. Mr. Maline also regularly advises companies on corporate legal matters, including SEC reporting and disclosure requirements and corporate governance matters.

Prior to joining Goodwin Procter in 2008, Mr. Maline was a partner at Lowenstein Sandler, where he was a member of that firm’s Corporate Department.
