Areas of Practice

Dave Dietz, a partner in the firm’s Business Law Department, has a broad range of experience in corporate finance and mergers and acquisitions. He has represented issuers and underwriters in the public offering of debt and equity securities, as well as a number of private equity firms in both technology and acquisition financing. He is also a member of the firm's Private Equity and Technology Companies Groups.

Mergers and Acquisitions:

  • Represented Norton Company in its $2 billion sale to Saint-Gobain
  • Represented Wyman-Gordon Company in its $800 million sale to Precision Castparts Corp.
  • Represented Horizon Telecom International, Inc. in the acquisition of the Brazilian cable TV assets (Canbras) of Bell Canada
  • Represented Watts Water Technologies in the acquisition of Hoke
  • Represented High Liner Foods, Inc. in the acquisition of Italian Village Inc.

Corporate Finance Transactions:

   Public Offerings

  • IPOs - Represented Fairmarket, Artificial Intelligence Corp., Telesis Systems Corp. and Outdoor Communications in their initial public offerings
  • Represented CIRCOR International in its sale of $20 million of common stock and Watts Water Technologies in its public offering of $76 million of common stock

  • Represented Wyman-Gordon Company in a $150 million Senior Note Issue and a $90 million Senior Note Issue

Professional Activities

Mr. Dietz is a director of CIRCOR International, Inc. (flow control products), The Andover Companies (property and casualty insurance), and High Liner Foods (USA), Inc. He is also secretary of a number of private companies, and serves on the Private Equity CFO Association's advisory board. Most recently he has been appointed by the Board of Directors of CIRCOR International as Lead Director for their Executive Sessions of all non-management Board Members.

Publications/Presentations

Mr. Dietz was Articles Editor of the Boston University Law Review.

Professional Experience

Mr. Dietz taught physics at Deerfield Academy from 1971 to 1973.
